SPP Technologies to Divest SPT Microtechnologies USA to Tempress
SPP Technologies Co., Ltd. (Tokyo, Japan; the “Company”) hereby announces that it has decided to divest its wholly owned subsidiary, SPT Microtechnologies USA, Inc. (San Jose, California, USA; “SPT-USA”), by transferring all of its shares to Tempress Holding North America Inc. (Delaware, the USA; “Tempress-USA”), a special purpose company established by Tempress Holding B.V. (Vaassen, the Netherlands; “Tempress”).
Strategic Rationale
SPT-USA specializes in vertical furnaces for complex More-than-Moore (MtM) thermal processing, offering highly complementary assets to Tempress in terms of product lines, geographical coverage, and access to additional key customers. Through this divestiture, SPT-USA’s product portfolio, engineering expertise, and customer relationships will be combined with Tempress’s business, strengthening its position in the semiconductor equipment market. The Company has determined that operating under Tempress offers the best path for the further growth and development of SPT-USA, and has accordingly decided to proceed with the divestiture.
Transaction Details
The Company will transfer all shares of SPT-USA that it holds to Tempress-USA. As a result, SPT-USA, together with its subsidiaries in Germany and Taiwan, will become part of the Tempress group, and operational continuity of SPT-USA’s business is expected to be maintained.
